Terms of Service

Effective date: 18 July 2026

1. Who we are

Agnus is a cloud-based AI coding studio operated by Jean Daniel Alexis ("Agnus," "we," "us"). The service is accessible at agnus.work and coding.agnus.work. By creating an account and using Agnus you agree to these Terms. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old to use Agnus. By using the service you confirm that you meet this requirement. If you are using Agnus on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

3. Accounts

Accounts are created via GitHub OAuth. You are responsible for keeping your GitHub credentials secure. You must not share your account with others. We may suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

Each GitHub account may hold one Agnus account. Creating duplicate accounts to circumvent limits or bans is not permitted.

4. The service

Agnus lets you direct AI coding agents to read, write, and run code inside isolated cloud sandboxes, and to deploy projects to connected providers (Railway, Vercel). The AI outputs are generated by third-party large-language model providers (Anthropic, DeepSeek, OpenAI, Google, Mistral, and others you configure). We orchestrate those providers; we do not control the outputs they produce.

Agnus is currently in early access. The service may have bugs, be interrupted for maintenance, or change substantially. We do not guarantee uninterrupted availability.

5. Acceptable use

You must not use Agnus to:

  • violate any applicable law or regulation;
  • generate, store, or deploy malware, ransomware, spyware, or any code intended to harm systems or people;
  • attempt to circumvent sandbox isolation, gain unauthorised access to other users' data, or probe Agnus's own infrastructure;
  • use AI agents to send unsolicited commercial messages, scrape third-party sites at scale, or generate content that infringes third-party rights;
  • abuse the free tier or circumvent billing controls through automation.

We reserve the right to suspend access immediately, without notice, for material violations.

6. AI-generated content

Code, text, and other content produced by AI agents on your behalf ("AI Outputs") is generated by third-party models. You are responsible for reviewing AI Outputs before using, deploying, or distributing them. Agnus does not warrant that AI Outputs are accurate, complete, secure, or fit for any particular purpose.

Rights to AI Outputs are governed by the usage policies of the relevant model provider (Anthropic, DeepSeek, OpenAI, etc.). Those policies generally grant you rights to use outputs you generate via their API. You are responsible for checking and complying with each provider's current terms.

Agnus does not claim any ownership interest in the AI Outputs generated in your account.

7. Your content and intellectual property

You retain ownership of the code, files, and other content you create or upload to Agnus ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive licence to store, copy, and process it solely to provide the service.

Agnus and all intellectual property in the platform (UI, APIs, orchestration logic, compliance tooling) remain our property. These Terms do not grant you any rights to the platform itself beyond the right to use the service as described here.

8. Third-party integrations

Connecting Agnus to GitHub, Railway, Supabase, Vercel, or any other third-party service is subject to that service's own terms. We are not responsible for how those services handle your data or credentials. You are responsible for having the rights necessary to clone, modify, and deploy any repository you connect to Agnus.

9. Bring-your-own API keys

Where you supply your own AI provider API keys, you are responsible for compliance with the relevant provider's terms and for any costs those keys incur. Agnus stores your keys encrypted and uses them only to fulfil your requests. We do not use your API keys for any other purpose.

10. Pricing and payment

Agnus is currently in early access. Pricing details will be published before any paid tier is introduced. We will give you reasonable advance notice before charging you. If a paid tier is introduced, continued use will constitute acceptance of the applicable pricing.

11. Disclaimer of warranties

To the maximum extent permitted by applicable law, Agnus is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free, uninterrupted, or that AI Outputs will be accurate or suitable for your use case.

12. Limitation of liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from or related to the service shall not exceed the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) €100.

In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions our liability is limited to the fullest extent permitted by law.

13. EU consumer rights

If you are a consumer in the European Union, you have a statutory right to withdraw from a contract for digital services within 14 days of conclusion, without giving a reason (the "right of withdrawal" under Directive 2011/83/EU).

By expressly requesting that we begin performing the service immediately (i.e., by using Agnus), you acknowledge that the right of withdrawal is lost once performance of the digital service has begun with your prior express consent. For a free tier or free trial, no payment is involved and the right of withdrawal is academic. If you are charged for a subscription and have not started using it, you may exercise your withdrawal right by contacting us at support@agnus.work within 14 days of purchase.

14. Termination

You may delete your account at any time by contacting us. We may suspend or terminate your account immediately for material violations of these Terms, or with 30 days' notice for any other reason.

On termination, your right to use the service ends. We will retain and then delete your data in accordance with our Privacy Policy.

15. Governing law and disputes

These Terms are governed by the laws of Italy. For disputes between us and a consumer in the EU, the consumer may bring proceedings in their country of residence.

The European Commission provides an online dispute resolution platform for consumer disputes: ec.europa.eu/consumers/odr. We are not obligated to use alternative dispute resolution procedures but will consider reasonable requests.

16. Changes to these Terms

We may update these Terms. We will give at least 30 days' notice of material changes (by updating the effective date above and, where practical, by in-app notification). Continued use of Agnus after a change takes effect constitutes acceptance of the updated Terms.
